Terms and Conditions

These terms cover this website and the software and AI services we provide. The written quotation or agreement for a job adds the details of that job. We are not a law firm and our work is not legal advice. Indian law applies.

1. Who we are and what these terms cover

These terms are between you and SHOBHA KAMAL SOLUTIONS PRIVATE LIMITED, a company incorporated in India under the Companies Act, 2013 (CIN U74999UP2017PTC098453), registered office B-1105, Plot No. 14, Shipra Krishna Vista, Ahinsa Khand-1, Indirapuram, Ghaziabad, Uttar Pradesh 201014, India. They apply to this website and to the software and AI services we provide. If a written quotation, proposal or agreement for a job differs from these terms on a point, that document prevails for that job.

2. Using the website

You may read and use this website for lawful purposes. Do not try to break, overload or gain unauthorised access to it, do not use it to send unlawful or harmful material, and do not copy it in a way that suggests it is yours.

3. Quotes, orders and payment

A quotation is our offer for the work it describes and stays open for the period it states (15 days if none). An order is accepted when you accept the quotation in writing and the advance, if any, is paid. Prices are in Indian rupees; a GST invoice is issued for every payment. Online payments are processed by Razorpay under its own terms. See Pricing Details, the Cancellation and Refund Policy and the Shipping Policy.

4. Your responsibilities

Give us the information, access and decisions we need on time, and tell us promptly if something is wrong. You are responsible for the content and data you give us and for having the right to use them, including any personal data. Keep any credentials we give you private; you are responsible for what is done with them.

5. Ownership

You own what you give us. Unless the quotation says otherwise, when you have paid in full for a deliverable you own the specific software we wrote for you for the job, except that we keep ownership of our own tools, libraries, methods and pre-existing code, and give you a perpetual, non-exclusive licence to use them as part of the deliverable. We may mention that we worked for you only with your permission.

6. Confidentiality

We keep your non-public business information confidential and use it only to do the work, except where the law requires us to disclose it. This does not apply to information that is or becomes public without our fault.

7. What we do not promise

We take care and use reasonable skill, and we fix agreed items that do not match the quotation (see Shipping Policy). Software and AI can still be wrong. AI outputs may be inaccurate, so you should check anything that matters before relying on it. Nothing we deliver is legal, tax or professional advice or a certificate or guarantee of any result. You remain responsible for your own decisions and compliance.

8. Limit of liability

To the fullest extent the law allows: we are not liable for indirect or consequential loss, lost profits, lost data or goodwill; and our total liability for any claim connected with a job is limited to the amount you paid us for that job. Nothing in these terms limits liability that the law does not allow to be limited, including for fraud or wilful misconduct.

9. Ending

You may stop a job at any time (see the Cancellation and Refund Policy). We may suspend or end work if you do not pay what is due or seriously break these terms, after telling you and giving you a chance to fix it where that is reasonable. Clauses that by nature continue (including 5, 6, 8 and 10) continue after ending.

10. Governing law and disputes

These terms are governed by the laws of India. Write to us describing any dispute and we will try in good faith to settle it within 30 days. A dispute not settled in that time is decided by arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator agreed by the parties (or appointed on application to the competent court if they do not agree within 15 days of a written request). The seat and venue are Ghaziabad, Uttar Pradesh, and the language is English. Subject to that, the courts at Ghaziabad have jurisdiction.

11. General

These terms, with any quotation or agreement and our Privacy Policy, are the whole agreement between us on their subject. If a part is unenforceable the rest stays in force.
